Terms and Conditions

Preamble
USA Expansion Experts LLC (hereinafter referred to as “USA Expansion Experts”) organizes seminars and workshops for persons who wish to become commercially active or self-employed in the US market (hereinafter referred to as “Customer”). The following General Terms and Conditions govern the rights and obligations of USA Expansion Experts and the seminar participants as far as the purchase of tickets for the events and the events themselves are concerned.

§1 Registration for the event

  1. Registration for seminars organized by USA Expansion Experts is only possible via the USA Expansion Experts website. Registration is binding. However, the contract is only concluded when the customer receives a separate declaration of acceptance of the contractual offer from USA Expansion Experts in writing or in text form.
  2. A unilateral transfer of the access authorization by the customer to another person is excluded. Participation in the booked event by a substitute participant is only possible with the consent of USA Expansion Experts. There is no entitlement to this.

§2 Payment

The participation fee is due immediately and must be paid regularly at the time of registration via the booking system on the USA Expansion Experts website. If payment via the booking system fails and a contract is nevertheless subsequently concluded, payment must be made to the USA Expansion Experts account specified in the registration confirmation.

§3 Included services / changes

  1. The ticket price includes participation in the event, snacks, pastries and a selection of drinks during the breaks as well as a small buffet during the lunch break. Travel and any necessary overnight stays are not included in the price.
  2. The announcements regarding the speakers and the topics they will cover are non-binding. USA Expansion Experts has the right to modify the content of the event at short notice, to replace speakers and to make other necessary changes while maintaining the overall character of the event. In all other cases, the customer’s rights are governed by § 4 paragraph 6.

§4 Rights to refuse performance and termination

  1. USA Expansion Experts may refuse the client access to the event, notwithstanding the right of termination under paragraph 2, if the fee to be paid in accordance with § 2 has not been transferred to the account specified in the registration confirmation by the start of the event at the latest. There is no entitlement to the acceptance of a cash payment at the event venue by USA Expansion Experts or its representatives.
  2. USA Expansion Experts may refuse the customer access to the event or exclude him if he behaves in a grossly improper manner, in particular if he acts aggressively or if he is under the excessive influence of alcohol or drugs. In these cases, there is no entitlement to a refund of the ticket price.
  3. USA Expansion Experts may also deny the customer access to the event or exclude him if he carries out unauthorized promotional activities in or directly in front of the event rooms. In this case, too, there is no entitlement to a refund of the ticket price.
  4. USA Expansion Experts may terminate the contract with the client if the client defaults on payment of the fee due and payment is not received within a grace period to be set.
  5. USA Expansion Experts may terminate the contract with the client up to 14 days before the start of the event if the event cannot be held due to a foreseeable lack of participation. Payments already made at this time will be refunded to the client. Participation is deemed to be too low if, based on the registration process to date, it can be expected that less than 30% of the available tickets will be sold by the start of the event. The USA Expansion Experts is entitled to a margin of discretion in this respect up to the limit of arbitrariness. Other costs incurred by the client in addition to the ticket price (e.g. accommodation costs) are only eligible for compensation under the conditions of § 6.
  6. If USA Expansion Experts has to make changes to the event announcement that are not covered by Section 3 (2) sentences 1 and 2, USA Expansion Experts will inform the client immediately. In this case, the client has the right to terminate the contract within one week. Notice of termination must be given at least in text form.
  7. The possibility of terminating the contract for good cause remains unaffected for both parties.

§5 Copyrights

  1. Insofar as seminar documents are handed over to the customer, these documents shall become the property of the customer – subject to deviating provisions in individual cases. He shall be granted the right to store the documents in digital form on his own private and company computer. No further rights are granted.
  2. The customer is prohibited from making photo and video recordings during the event in the event rooms.

§6 Liability

  1. The liability of USA Expansion Experts for breaches of duty due to simple negligence is excluded. Excluded from this is liability for damages resulting from injury to life, limb or health or due to guarantees. Claims under the Product Liability Act are also excluded. Furthermore, liability for the breach of obligations, the fulfillment of which is essential for the proper execution of the contract and on the observance of which the customer may regularly rely, or for services of USA Expansion Experts in which USA Expansion Experts has relied in a special way, remains unaffected. The same applies to breaches of duty by vicarious agents.
  2. USA Expansion Experts’ liability for damages is limited to the damage typically and foreseeably incurred in transactions of this type.
  3. A training success is not owed.

§7 Final provisions

  1. Amendments and additions to this contract must be made in writing to be effective. This also applies to the amendment or revocation of this clause.
  2. The customer’s general terms and conditions shall only apply if the parties have expressly made them the subject of their agreement in writing.
  3. Verbal collateral agreements do not exist.
  4. If individual provisions of this contract are or become invalid, this shall not affect the validity of the remaining provisions. In this case, the contracting parties shall replace the invalid provision with another provision that comes closest to the economic purpose of the invalid provision in a permissible manner.
